    This NDA is between Vertical Alternatives Solutions, LLC
    (the “Disclosing Party”) and the “Receiving Party” identified below. 







    Non-disclosure Agreement

THIS AGREEMENT is made and entered into as of the last date signed below
(the “Effective Date”), by and between Vertical Alternatives Solutions,
a Texas limited liability company, with its principal place of business at
1000 Ballpark Way, Suite 310, Arlington, TX 76011 ("Disclosing Party"),
and __________________________________________, a ________________________,
with its principal place of business at ___________________________________
("Receiving Party").

1. CONFIDENTIAL INFORMATION
   The Disclosing Party proposes to disclose certain aspects of its
   confidential and proprietary information (the "Confidential Information")
   to the Receiving Party for the purpose of working together in business.

2. NON-DISCLOSURE OF CONFIDENTIAL INFORMATION
   The Receiving Party agrees to use the Confidential Information solely in
   connection with the current or contemplated business relationship between
   the parties and not for any purpose other than as authorized by this
   Agreement without the prior written consent of an authorized representative
   of the Disclosing Party. No other rights or licenses to trademarks,
   inventions, copyrights, or patents are implied or granted under this
   Agreement.

3. SEVERABILITY
   If a court finds any provision of this Agreement invalid or unenforceable,
   the remainder of this Agreement will be interpreted so as best to effect
   the intent of the parties. The failure to exercise any right provided in
   this Agreement shall not be a waiver of prior or subsequent rights.

4. GOVERNING LAW AND VENUE
   This Agreement shall be governed by and construed in accordance with the
   laws of the State of Texas. Any disputes under this Agreement may be
   brought in the state courts or the federal courts located in Tarrant
   County, and the parties hereby consent to the personal jurisdiction and
   venue of these courts.

5. ENTIRE AGREEMENT
   This Agreement constitutes the entire agreement between the parties with
   respect to its subject matter and supersedes all prior agreements,
   representations and understandings of the parties, written or oral.

6. SIGNATURES
   Executed as of the date first above written, by signing below the Parties
   agree to all of the above terms and conditions for this Agreement.
